ARTICLE I - NAME AND PURPOSE

SECTION l. The East Texas Model Railroad Club was organized in Greenville Texas on I May 1986 and incorporated as a not-for-profit corporation under the laws of the State of Texas on 31 May 1994. The full legal name of the organization is EAST TEXAS MODEL RAILROAD CLUB, INC. In a shortened version the organization is also as the ETMRC.

SECTION 2. The purpose of the ETMRC as set forth in the Articles of Incorporation are, in pan, to promote, stimulate, foster and encourage by all manner and means the art and craft of model railroading and this corporation is organized exclusively for charitable, educational and recreational purposes. These purposes include but are not limited to:

  1. To develop the technical skills of persons engaged in the art and craft of model railroading and fellowship among model railroaders;
  2. To educate persons engaged in mode) railroading in methods of building and operating railroad equipment and prototype practices;
  3. To advance the hobby of model railroading wherever and whenever possible by publications, meetings and all things necessary or incident to the foregoing purposes.

ARTICLE II - MEMBERSHIP AND DUES

SECTION l.There shall be five classes of membership in the ETMRC as follows:

Any person interested in model railroading and wishing to become a member of ETMRC shall follow these steps. The membership shall be reimbursed the cost of the NMRA Associate membership if they request it.

  1. Youth Member: Any person seventeen years of age or older wishing to become a member of ETMRC may become an active Provisional Member after a 2/3 active membership vote of approval. The applicant must become a member of the NMRA at the STUDENT level. He will be issued a key after filling out the ETMRC New Member data sheet and begins paying dues of ten dollars ($10.00) per month. At the time the NMRA membership becomes active the applicant will become a Youth Member. A youth member will retain this status until he becomes twenty-one, then up-grades to REGULAR. The applicant will be issued a Decoder after completing the ETMRC New Member data sheet. The membership level has full voting rights,
  2. Regular Member: Any person twenty-one years of age or older wishing to become a member of ETMRC may become an active Provisional Member after a 2/3 active membership vote of approval. The applicant must become a member of the NMRA at a level he selects. He will be issued a key after filling out the ETMRC New Member data sheet and begins paying dues of twenty dollars ($25.00) per month. Regular Memberships: At the time the NMRA membership becomes active he will become a Regular Member. They must be at least an Associate NMRA member and will be issued a Decoder after completing the ETMRC New Member data sheet. The membership level has full voting rights. If the Provisional member fails to become an NMRA member at the end of three months, he must return the key and will not become a member of ETMRC. This provisional membership does not vote.
  3. Associate Member: Any child, sixteen (16) years of age or older, of an active member in good standing and residing at the same address, may become an associate member of the ETMRC upon payment of five dollars ($5.00) per month. Such membership shall not vote or carry a key.
  4. Member Emeritus: Any individual member who wishes to leave active membership can be invited to an appointment as a Member Emeritus by the President after a ballot vote passing by normal majority of the active membership. Such membership shall not vote or carry a key. There must be at least one member present when an Honorary member is in The Junction. They will not be issued a Decoder.
  5. Child Member: Any Person under the age of seventeen wishing to become a member of ETMRC may become an active provisional member after a 2/3 majority vote of approval. The applicant must become of the NMRA at the student level. Applicant will not be issued a key. Applicant will be a non-voting member until such time as he/she reaches 17 years of age, at which time he/she will become a youth member and subject to the rules pertaining to youth membership in part A. Child members although non-voting can attend meetings and contribute to discussions, they will not be able to make or second motions. Child members are not eligible for reimbursement of NMRA dues and or fees. Child members will become active members upon presentation of proof of NMRA membership after being passed as a provisional member and at the end of a successful completion of the probationary period. NMRA membership must be kept up to date. Dues must be kept up to date. Child members must be accompanied by a parent or guardian at all times, no exceptions. Child members will have at least one sponsor, a member of the ETMRC to provide mentorship and guidance regarding all things relating to ETMRC. Dues for a child member shall be $5.00 per month. Child members will be on probation for the first 90 days and at the end of the time period shall be voted on a second time to become a member with the same requirement of a 2/3 majority in favor of membership. Should removal of member be desired removal will be handled per section Il as it applies to all other classes

SECTION 2. Membership shall be on a monthly basis and shall expire thirty (30) days after written notification, including reasons for termination, by the Secretary after two thirds (2/3) active membership vote- In addition, membership may be terminated after a member is four (4) months or more delinquent in dues by a two thirds (2/3) active membership vote.

ARTICLE III - OFFICERS

SECTION l. The officers of ETMRC shall consist of a President, Vice President, Secretary, and Treasurer and Metroplex Council Representative.

SECTION 2. A volunteer Board of Directors, three members, shall serve as advisors for a one-year term of office taking their seats at the same time as the other officers. This Board shall meet at least twice a year to consider and publish their recommendations as to the operation and activities of the club.

SECTION 3. The term of office for the officers shall begin on the day of the first ETMRC meeting following their election and shall continue for duration of one year until the day of the first ETMRC meeting following the election of their successors. The By-Laws shall set forth their duties.

SECTION 4. In the event of a vacancy in the offices outlined in Sections I and 2 of this article, the membership shall elect a successor who shall hold office for the remaining balance of the term of the person replaced.

ARTICLE IV - MEETINGS

SECTION l. There shall be one (l) monthly meeting, The time and place of the meeting shall be as defined in the By-Laws.

ARTICLE V - VOTING

SECTION l. Only members in good standing (current dues paid) shall be entitled to vote.

SECTION 2. All matters involving amendments to the Constitution, amendments to the By-Laws and election of officers shall be submitted to the membership for vote.

SECTION 3. Nominations of candidates for office and preparation of proposed changes to the Constitution and By-Laws shall be set forth as noted in the By-Laws.

SECTION 4. A two-thirds (2/3) majority of the votes cast on a question shall be necessary to amend this Constitution or the By-Laws.

SECTION 5. In the election of Officers, the candidate receiving the largest number of votes for any given office shall be declared the winner. In case of a tie, a flip-of-the coin shall be used to declare the winner.

SECTION 6. On all matters to be voted upon a simple majority of the votes cast will suffice the question, unless otherwise noted specifically in this Article.

ARTICLE VI - BY-LAWS

SECTION l. The By-laws shall be established and adopted by the corporation {Or its own government and that of the membership and officers.

SECTION 2. The By-Laws of the ETMRC may be adopted or amended by two-thirds (2/3) majority vote of the total membership in good standing. Where regular or special meetings are called for the purpose of amending By-Laws, a written notice of such meetings shall contain detailed information plus a proxy regarding all such amendments as shall be considered and acted upon, and no others shall be considered and acted upon, and no others shall be adopted at said meeting unless included in the announcement thereof.
